Terms of Service

These Terms and Conditions ("Terms") govern your access to and use of Kiip's services, including kiip.app, Kiip Wallet, Kiip Pay, and Kiip Accounts (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our Services.


1. Introduction

"Kiip AS ("Kiip," "we," "us," or "our") is a company registered in Norway. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Kiip. By accessing or using our services, you agree to these Terms and our Privacy Policy."


2. Eligibility

  • 2.1. Legal age: You must be at least 18 years old, or the minimum age required by applicable laws in your jurisdiction, to use our Services. You must be able to prove your age using a government-issued ID upon request.
  • 2.2. Compliance: By using the Services, you represent and warrant that you comply with all applicable laws and regulations.
  • 2.3. Restrictions: The Services are not available to users who have been suspended or removed by Kiip.

3. Account Registration

  • 3.1. Account creation: To access certain features, you must create an account by providing accurate and complete information.
  • 3.2. Account security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • 3.3. Notification: You agree to notify us immediately of any unauthorized use of your account.

4. Use of services

4.1. Permitted use

  • You may use the Services for lawful purposes and in accordance with these Terms.

4.2. Prohibited activities

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Post or transmit any harmful, infringing, or illegal content.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to any part of the Services or related systems.

4.3. Non-Custodial Services

Kiip provides technical infrastructure that allows you to manage your own wallet and keys. Kiip does not hold or control any of your funds, nor does it retain backup copies of your private keys or credentials. You are solely responsible for:

  • Safeguarding your private keys, passphrases, or other wallet credentials. If you lose or misplace these credentials, Kiip cannot recover them on your behalf.
  • Ensuring the security of any devices, software, or networks you use to access the Services.
  • Maintaining up-to-date backups of your private keys or wallet information in a secure location.

As a provider of technology-based solutions, Kiip simply offers tools and services to support businesses and individuals in managing their wallets. Kiip does not provide any financial services, nor does it act as a bank, credit institution, or e-money institution. You alone control your wallet at all times, and Kiip cannot access or hold your funds.

By using Kiip's Services, you acknowledge and agree that:

  • All funds and wallets remain under your sole ownership and control at all times.
  • Kiip has no special access to your wallet(s) and cannot assist in accessing or transferring funds if your credentials are lost.
  • You may choose to discontinue use of the Kiip interface at any time and manage your wallet through third-party tools without Kiip's involvement.

4.4. No Financial Advice

Kiip is a technology provider, not a financial advisor or broker-dealer. The information and tools we provide are intended for informational purposes only and do not constitute financial, investment, or legal advice. You acknowledge:

  • You are solely responsible for your investment, trading, and financial decisions.
  • Any reliance on information obtained through the Services is at your own risk.

4.5. Regulatory Status & Assumption of Risk

  • Not a regulated financial service. Kiip is not a bank, credit institution, payment institution, or e-money institution, and does not operate under a specific financial regulatory license in any jurisdiction.
  • Inherent volatility. Digital assets can be subject to extreme price volatility. You acknowledge that their value may rise or fall rapidly, and Kiip will not be liable for any losses.
  • Irreversible transactions. Transactions involving digital assets are typically irreversible. Once broadcast to the relevant blockchain, they cannot be undone, reversed, or modified by Kiip.
  • Local law compliance. You are solely responsible for ensuring that your use of the Services complies with all laws and regulations applicable to you, including any restrictions on digital assets in your region.
  • No insurance or guarantees. Digital asset holdings are not covered by governmental insurance, and Kiip offers no guarantees or reimbursements if assets are lost, stolen, or otherwise inaccessible.

4.6. Non-Financial Status

Kiip is a non-custodial, technology-only service provider that neither stores private cryptographic keys nor manages user funds. We do not act as a bank, payment institution, broker-dealer, or exchange, nor do we provide any services that require us to hold, secure, or transact on behalf of users. By nature of this technology-only role:

  • You retain full control. Since Kiip never takes possession of user funds, you are always in control of your private keys and digital assets.
  • We do not provide custodial services. Our tools and interfaces allow you to manage your wallet without surrendering custody to Kiip.
  • Not a financial service provider. Kiip's Services do not include accepting deposits, handling payments on users' behalf, or executing trades. We merely supply technical means to interact with decentralized systems.

Nothing in these Terms should be construed as placing Kiip under any regulatory framework designed for custodial or financial intermediaries. If Kiip's Services change in a way that subjects us to additional regulations, we will inform users and comply with all applicable requirements.


5. Fees and payments

  • 5.1. Kiip Pay transaction fees: Businesses using Kiip Pay are subject to a transaction fee of 2% per transaction unless otherwise agreed.
  • 5.2. Taxes: You are responsible for any applicable taxes arising from your use of the Services.
  • 5.3. Payment methods: All payments must be made using approved payment methods.

6. User content

  • 6.1. Ownership: You retain ownership of any content you submit through the Services ("User Content").
  • 6.2. License: By submitting User Content, you grant Kiip a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content.
  • 6.3. Responsibility: You are solely responsible for your User Content and any consequences of sharing it.

7. Intellectual property rights

  • 7.1. Ownership: Kiip owns all rights, titles, and interests in the Services, including all intellectual property rights.
  • 7.2. License: Kiip grants you a limited, non-exclusive, non-transferable license to access and use the Services.
  • 7.3. Restrictions: You may not reproduce, distribute, or create derivative works from the Services without our prior written consent.

8. Third-party services

  • 8.1. Integration: The Services may contain links or integrations with third-party websites or services.
  • 8.2. No endorsement: Kiip does not endorse and is not responsible for any third-party content or services.
  • 8.3. Terms of use: Your use of third-party services is subject to their respective terms and policies.

9. Data protection and privacy

  • 9.1. Compliance: We process personal data in accordance with our Privacy Policy and applicable global data protection laws, including the EU General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), where applicable.
  • 9.2. Consent: By using the Services, you consent to the collection and use of your data as described in our Privacy Policy.

10. Termination

  • 10.1. By you: You may terminate your account at any time by following the instructions within the Services.
  • 10.2. By Kiip: We reserve the right to suspend or terminate your access to the Services at our sole discretion, with or without notice, for any reason, including violation of these Terms.
  • 10.3. Effect of termination: Upon termination, your right to use the Services will immediately cease. We will securely delete or anonymize your personal data, except where retention is required by applicable laws. Any remaining funds in your Kiip account must be withdrawn within 30 days, after which they may no longer be retrievable. Sections that by their nature should survive termination shall survive.

11. Disclaimers

  • 11.1. As-is Basis: The Services are provided on an "as is" and "as available" basis without warranties of any kind.
  • 11.2. No warranty: Kiip disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • 11.3. No Guarantee: Kiip does not guarantee the accuracy, completeness, or usefulness of any content or the Services.

11.4. Technology Risks and Code Vulnerabilities: You acknowledge that Kiip's software, smart contracts, and other technical implementations may contain errors, bugs, or vulnerabilities despite our best efforts. By using any of Kiip's tools or Services, you agree that Kiip will not be liable for losses or damages, direct or indirect, arising from:

  • Exploits or vulnerabilities in Kiip's code or any integrated third-party code.
  • Downtime, interruptions, or system failures that may prevent access to the Services or your funds.
  • Any temporary or permanent inability to interact with blockchain networks, including unintended or irreversible transactions.

11.5. Global Use and Regulatory Uncertainties: Kiip provides Services globally, but the legal status of digital assets varies by jurisdiction, and new regulations may arise. You are solely responsible for complying with local laws where you operate or reside. Kiip disclaims liability for any regulatory or legal consequences you may face when using our Services.


12. Limitation of liability

  • 12.1. Exclusion of damages: To the maximum extent permitted by law, Kiip shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Some jurisdictions do not allow the exclusion of certain types of damages, and in such cases, Kiip's liability shall be limited to the maximum extent allowed by applicable laws in your jurisdiction.
  • 12.2. Cap on liability: Kiip's total liability arising out of these Terms or your use of the Services shall not exceed the amount you have paid to Kiip in the past twelve (12) months.

12.3. No Liability for User-Managed Funds: Since Kiip is a non-custodial, technology-only provider, you retain exclusive control over your private keys and funds. Kiip is not responsible if you lose access to your private keys, incur losses from software bugs, or suffer financial harm due to user error, third-party service disruptions, or malicious attacks. You acknowledge and accept the risks inherent in using decentralized technologies.


13. Indemnification

You agree to indemnify and hold harmless Kiip and its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.


14. Governing law and jurisdiction

  • 14.1. Governing Law: These Terms are governed by applicable laws in your jurisdiction, unless otherwise specified. In the event of a dispute, the matter shall be resolved in accordance with the laws and courts deemed appropriate based on the user's location and applicable international standards.
  • 14.2. Dispute Resolution: Any disputes arising out of or relating to these Terms shall be resolved by the competent courts of [Jurisdiction], unless otherwise required by applicable law.

15. Changes to the terms

  • 15.1. Updates: Kiip reserves the right to modify these Terms at any time.

  • 15.3. Acceptance: Your continued use of the Services after changes have been made constitutes your acceptance of the new Terms.

16. Miscellaneous

  • 16.1. Entire agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and Kiip.
  • 16.2. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • 16.3. Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • 16.4. Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Kiip may assign its rights under these Terms at its discretion.

18. Language
